BPE Solicitors’ Corporate Team Supports Management Buyout of UK History Publisher

The corporate team at a Cheltenham based law firm, BPE Solicitors, has recently advised the management buyout team at The History Press Limited in the acquisition of company shares.

Based in Stroud, The History Press is the country’s largest dedicated history publisher, specialising in history books and guides across a broad range of topics and periods.

Led by BPE Partner Tim Ward and supported by Emma Payne, the deal saw the team advise its directors, Gareth Swain, Laura Perehinec and Jamie Kinnear, on an asset-based lending agreement and associated security package.

Tim commented: “Along with the acquisition of The History Press, we had to ensure that the terms of an asset sale that completed prior to the buyout, whereby the Pitkin Publishing brand was sold by The History Press to a third-party trade purchaser, didn’t leave any unforeseen issues for our clients.

“At BPE, we support businesses through each phase of their growth and development, and we’re pleased to see this company enter the next stage of its lifecycle under the guidance of Gareth, Laura and Jamie.”

Gareth Swain has taken on the role of Managing Director, while Laura Perehinec remains as Publishing Director and Jamie Kinnear takes on the Sales Director title.

Gareth said: “I am delighted to have chosen to use the services of BPE Solicitors corporate division. Our transaction required the use of several lawyers from across the UK. BPE were able to guide us through this complex process, providing good commercial advice and superb organisational structure. Tim and Emma provided exemplary advice and I would recommend their services unreservedly.”

The corporate team at BPE prides itself on the sound legal advice and support it provides to its clients. They are more than just lawyers; they are trusted business advisers, aiming to help structure businesses to achieve sustained growth. From starting a new business to development through growth, joint ventures, buying, selling, or floating on the stock market, BPE’s corporate team has the breadth and depth of experience to support a business through every stage of its lifecycle.
