Joint Ventures

A joint venture is an arrangement between two or more participants who agree to co-operate to achieve a particular objective. They can range from collaboration and co-operation arrangements and shareholder agreements to full-scale mergers of existing businesses or companies. Joint ventures are a popular method of collaboration and structure for potential growth.

Joint ventures can be carried out by way of a commercial collaborative agreement or through more formal corporate structures such as a special purpose vehicle  or limited liability partnership.  Which arrangement is best in any circumstance depends on the overall aims and existing structures of the participating businesses and those engaged in them.

Questions such as how the equity will be held, how much each party is contributing (either in cash or effort (sweat equity)) , what intellectual property will be generated, whether activities will be carried out in more than one country, what the tax implications are, and how the joint venture will end must all be considered and agreed.

Our team of lawyers are experts with extensive experience in advising on the structuring and creation of joint ventures. We work closely with colleagues in our commercial, property, employment and private wealth teams (as required) together with your external advisors, such as accountants, to navigate the many practical, financial and legal considerations which may arise.
