BPE Solicitors LLP has advised on the acquisition of a majority interest in the Gothic Medical Group by a newly established Employee Ownership Trust (EOT).
The Group, previously majority family-owned under the leadership of founder Martin Lennon, includes Gothic Medical Limited, Elm Medical Limited and Cesas Medical Limited. As part of the transaction, two of Martin’s sons have retained a minority shareholding and will continue to work alongside him to lead the business. Their focus will be on supporting long-term growth and ensuring that employees share directly in the future success of the Group.
Elm Medical is a specialist medical communications business supporting pharmaceutical companies with the promotion of their products across the UK, US and Europe. Cesas Medical coordinates and hosts online medical forums that bring together university-led CPD content and market-leading research for clinicians and medical professionals.
BPE’s Corporate team advised on all aspects of the transaction.
"Transitioning the business to an Employee Ownership Trust was an important milestone for us. We wanted to recognise the contribution of our staff and secure a structure that supports the Group’s future. We are grateful to the team at BPE for their guidance throughout the process."
— Martin Lennon, Founder, Gothic Medical Group
Kathryn King, Head of the BPE Corporate and Commercial team, commented:
"We were pleased to support the EOT trustees, Martin, his family and the wider Gothic Medical Group with this transaction. The move to employee ownership positions the Group strongly for the coming years and reflects a clear commitment to its people."
